1. Agreement & Acceptance

By accessing and using ShopTalk AI ("Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. We reserve the right to modify these terms at any time. Continued use of the Service constitutes acceptance of modified terms.

2. Service Description

ShopTalk AI is a WhatsApp-powered AI chatbot service that helps Pakistani businesses automate customer interactions, manage orders, and provide customer support. The Service operates 24/7 but may have scheduled maintenance windows.

3. User Accounts & Responsibilities

3.1 Account Creation

You must provide accurate, complete, and current information during registration. You are responsible for maintaining the confidentiality of your password and account credentials. You agree to accept responsibility for all activities that occur under your account.

3.2 Age Requirement

You must be at least 18 years old and authorized to enter into a binding contract in Pakistan.

3.3 Compliance

You agree to use ShopTalk AI only for legitimate business purposes and in compliance with all applicable laws and regulations in Pakistan.

4. Payment Terms

4.1 Billing

Subscription fees are billed in Pakistani Rupees (PKR) on a monthly basis. Billing occurs on the same date each month. You are responsible for maintaining current payment information.

4.2 Payment Methods

We accept JazzCash, EasyPaisa, bank transfers, and other Pakistani payment methods. Payment processing is handled by secure third-party providers.

4.3 Failed Payments

If a payment fails, we will attempt to charge your account up to 3 times within 15 days. If payment ultimately fails, your subscription will be suspended.

4.4 Refunds

No refunds are provided for partial months or unused features. However, if you cancel within 48 hours of your first payment, we will refund your money in full.

5. Subscription & Cancellation

5.1 Subscription Duration

Subscriptions are billed monthly unless otherwise agreed. Subscriptions automatically renew each month unless cancelled.

5.2 Cancellation

You may cancel your subscription anytime through your account dashboard. Cancellations take effect at the end of your current billing period. You will have access to ShopTalk AI until the end of the paid period.

5.3 No Lock-In Period

There is no lock-in period or long-term contract. You are free to cancel anytime with no penalties.

6. Prohibited Uses

You agree not to:

  • Use the Service for illegal activities or violation of Pakistani laws
  • Send spam, malware, viruses, or malicious code
  • Impersonate another person or misrepresent your identity
  • Harass, threaten, abuse, or defame others
  • Distribute inappropriate, offensive, or illegal content
  • Engage in fraud, unauthorized access, or hacking
  • Bypass security measures or attempt unauthorized access to our systems
  • Use the Service to develop competing services
  • Scrape, crawl, or extract our data without permission
  • Overload or attempt to disrupt our servers

7. Intellectual Property Rights

Our IP: ShopTalk AI software, features, documentation, and branding are our intellectual property. You receive a limited license to use the Service for your business only.

Your Content: You retain ownership of your data (business info, messages, products). You grant us a license to use your data to provide the Service.

8. Warranty Disclaimer

ShopTalk AI is provided "AS IS" without any warranties. We do not guarantee uninterrupted, error-free, or secure service. We disclaim all warranties of merchantability, fitness for a particular purpose, and non-infringement.

9. Limitation of Liability

To the maximum extent permitted by law, ShopTalk AI and its owners are not liable for indirect, incidental, special, or consequential damages. Our total liability is limited to the amount you paid in the last 3 months.

10. Service Availability & Maintenance

While we strive for 99.5% uptime, we do not guarantee continuous service. We may perform maintenance, upgrades, or experience outages. We will provide notice of scheduled maintenance when possible.

11. Data Protection & Security

We implement industry-standard security measures. However, no system is 100% secure. You acknowledge the inherent risks of data transmission over the internet and use ShopTalk AI at your own risk.

12. Suspension & Termination

We may suspend or terminate your account if:

  • You violate these Terms of Service
  • Payment fails and is not resolved
  • You engage in illegal or fraudulent activity
  • You abuse the Service or harm other users
  • As required by law or regulation

Upon termination, your access will be revoked and your data will be deleted after a 30-day retention period (except where legally required to retain).

13. Dispute Resolution

Governing Law: These Terms are governed by the laws of Pakistan. Any disputes will be resolved in the courts of Lahore, Pakistan.

Arbitration: Before pursuing legal action, both parties agree to attempt resolution through negotiation and mediation in Lahore.

14. Indemnification

You agree to indemnify and hold harmless ShopTalk AI from any claims, damages, or costs arising from your use of the Service, violation of these Terms, or infringement of third-party rights.

15. Changes & Updates

We may update these Terms periodically. Material changes will be communicated via email. Your continued use constitutes acceptance of updated Terms.
